Terms of Service

1. Acceptance & Eligibility

By creating an account, connecting a shop, or otherwise using Bagged (the "Service"), accessible at baggedhub.com, you agree to these Terms of Service and to our Privacy Policy. If you do not agree, do not use the Service.

You must be at least 18 years old and legally able to enter into a binding contract. If you accept on behalf of a company, you represent that you have authority to bind that company.

2. Description of Service

Bagged is a software-as-a-service application that connects to the TikTok Shop Open API to provide consolidated multi-shop dashboards, profit intelligence (calculating net profit from gross sales, platform fees, ad spend, refunds, and your declared cost of goods), product management, and promotion management for TikTok Shop sellers.

The Service operates on a subscription basis. Feature availability varies by plan. We may add, remove, or change features over time.

3. Account Registration

Authentication is provided by a third-party identity provider (Clerk). You are responsible for keeping your credentials confidential and for all activity that occurs under your account. Notify us promptly at security@baggedhub.com of any unauthorized use.

You may not (a) share an account with users outside your workspace, (b) impersonate another person or entity, or (c) create accounts to circumvent limits or evade suspension.

4. Subscription, Billing & Refunds

Subscriptions are processed by Lemon Squeezy, our Merchant of Record, and are charged in advance on a monthly or yearly basis according to the plan you select. Prices may change with at least 30 days' prior notice; changes apply to renewal terms only.

Subscriptions renew automatically unless cancelled before the end of the current billing period. Cancellation takes effect at the end of the paid period; you retain access until then.

Refunds: Except where required by applicable consumer protection law, fees already paid are non-refundable. Lemon Squeezy applies sales tax / VAT according to your billing jurisdiction.

5. TikTok Shop Integration

To use the Service you must connect at least one TikTok Shop account via the official OAuth authorization flow. By doing so you grant Bagged permission to access and process the data necessary to provide the Service (orders, products, fees, refunds, promotions, inventory).

Bagged stores OAuth access and refresh tokens encrypted at rest (AES-256-GCM). You may revoke access at any time from the TikTok Shop seller center; doing so will immediately disable affected features.

Your use of TikTok Shop is governed by TikTok's own terms. Bagged is not affiliated with or endorsed by TikTok, ByteDance, or any of their subsidiaries.

6. Acceptable Use

You agree not to:

1. Use the Service for any illegal activity or in violation of any applicable law;
2. Reverse-engineer, decompile, scrape, or attempt to extract source code or proprietary data, except as expressly permitted by law;
3. Interfere with or disrupt the Service, its infrastructure, or other users (including denial-of-service attempts, distributing malware, or abusive rate of requests);
4. Use the Service to operate a competing product or to benchmark for the purpose of building a competing product;
5. Upload or transmit content that infringes third-party rights, is defamatory, harassing, or otherwise unlawful;
6. Resell, sublicense, or commercially exploit the Service without our prior written consent.

7. Your Data & Content

You retain all rights to data you submit, upload, or generate while using the Service (your "Customer Data"), including shop catalogs, product information, COGS values, and audit logs.

You grant Bagged a limited, non-exclusive, worldwide license to host, process, copy, transmit, and display Customer Data solely to operate, maintain, and improve the Service for you.

You may export your Customer Data at any time. After termination, we retain your data for up to 30 days to allow recovery, after which it is permanently deleted except where retention is required by law (e.g., transaction records for fiscal purposes).

8. Intellectual Property

The Service, including all software, design, copy, and trademarks, is owned by Bagged or its licensors and is protected by intellectual property laws. Except for the limited right to use the Service granted in these Terms, no rights are transferred to you.

Feedback you choose to share with us may be used without restriction or compensation to improve the Service.

9. Service Availability & Modifications

We aim for high availability but do not guarantee uninterrupted operation. The Service may be unavailable during maintenance, due to third-party outages (including TikTok Shop API, Clerk, Lemon Squeezy), or for reasons outside our reasonable control.

We may modify, suspend, or discontinue any part of the Service at any time, with or without notice, except that material adverse changes to paid features will be communicated to active subscribers at least 30 days in advance.

10. Termination

You may cancel your subscription at any time from your account settings or the Lemon Squeezy customer portal. We may suspend or terminate your access immediately if you breach these Terms, abuse the Service, fail to pay, or where required by law or a competent regulator.

Sections that by their nature should survive termination (Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, Governing Law) survive.

11. Disclaimers & Limitation of Liability

The Service is provided "as is" and "as available", without warranty of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

Profit, sales, and inventory calculations depend on data provided by TikTok and by you (including COGS). You are solely responsible for verifying that figures displayed match your fiscal and accounting records before relying on them for business or tax decisions.

To the maximum extent permitted by law, our aggregate liability for any claim arising out of or relating to the Service shall not exceed the greater of (a) the fees you paid to us in the twelve months preceding the event giving rise to the claim, or (b) one hundred US dollars (USD 100).

12. Indemnification

You agree to indemnify and hold harmless Bagged, its affiliates, and their officers, directors, employees, and agents from and against any claims, damages, losses, or expenses (including reasonable legal fees) arising from (a) your use of the Service, (b) your Customer Data, (c) your violation of these Terms, or (d) your violation of any third-party right, including TikTok's terms.

13. Governing Law & Dispute Resolution

These Terms are governed by the laws of the Federative Republic of Brazil, without regard to its conflict-of-laws principles. Any dispute arising from or related to these Terms shall be submitted to the competent courts of [CITY/STATE], Brazil, except where mandatory consumer protection law assigns jurisdiction to the consumer's domicile.

14. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Effective" date at the top and, for material changes, notify active subscribers by email or in-app message at least 30 days before they take effect. Your continued use after the effective date constitutes acceptance.
